1. License Overview

Multi-License Structure

OmniGen2 operates under a multi-license structure combining open source components with proprietary platform services. This approach ensures maximum flexibility for developers while protecting our commercial interests and intellectual property.

License Categories

  • Open Source: Core AI models and libraries under MIT/Apache 2.0
  • Platform Service: Proprietary license for hosted services
  • Commercial: Enterprise licensing for commercial deployments
  • Research: Academic and research usage licenses
  • API: Developer API access and integration rights

License Hierarchy

When multiple licenses apply, the most restrictive terms govern. Commercial users must comply with both open source obligations and commercial license terms. Enterprise customers receive additional rights and protections.

License Compatibility

Our licensing structure is designed for compatibility with major open source licenses and commercial software development practices. We provide clear guidance for license compliance in various deployment scenarios.

2. Open Source Components

MIT Licensed Components

Core OmniGen2 model implementations, inference engines, and utility libraries are released under the MIT License. This provides maximum freedom for modification, distribution, and commercial use with minimal restrictions.

MIT License Grant: Permission is hereby granted, free of charge, to any person obtaining a copy of this software to use, copy, modify, merge, publish, distribute, sublicense, and/or sell copies of the software.

Apache 2.0 Licensed Components

Advanced training frameworks, optimization tools, and enterprise integration components are licensed under Apache 2.0. This provides additional patent protections and contributor license agreements.

Source Code Availability

3. Platform Service License

Service License Grant

Subject to these terms and your compliance with our Terms of Service, we grant you a limited, non-exclusive, non-transferable license to access and use the OmniGen2 platform services for your authorized purposes.

License Limitations

The platform service license does not include rights to reverse engineer, decompile, or extract proprietary algorithms. You may not redistribute platform access or create derivative services without explicit authorization.

Service Level Commitments

Licensed platform services include uptime commitments, support guarantees, and feature availability as specified in your service level agreement. Enterprise licenses include additional performance and availability guarantees.

4. AI Model Licensing

Model Weights License

Pre-trained model weights are licensed under a custom license that permits research and non-commercial use. Commercial use of model weights requires a separate commercial license or platform service subscription.

Commercial Model Licensing

Model Modification Rights

Licensed users may fine-tune and adapt models for their specific use cases. Modified models remain subject to the original license terms. Redistribution of modified models requires compliance with attribution requirements.

5. Commercial Use Rights

Commercial License Types

Commercial licensing requirements are based on annual revenue thresholds and usage volume. Organizations below $1M annual revenue may qualify for startup licensing rates. Enterprise licensing applies to organizations above $10M annual revenue.

6. Generated Content Licensing

Content Ownership Rights

You retain ownership of input content provided to OmniGen2. Generated output content is licensed to you under terms that permit commercial and non-commercial use, subject to applicable restrictions and third-party rights.

Content Limitations

Similar Content Disclaimer

AI models may generate similar content for different users. We do not guarantee uniqueness and are not liable for similarities between outputs. Users should implement appropriate measures to ensure content uniqueness if required.

7. API Usage License

API Access Rights

API access is licensed for integration into applications, services, and workflows. License scope depends on your subscription tier and includes rate limits, feature access, and support levels as specified in your service agreement.

API Restrictions

Official SDKs and client libraries are provided under permissive open source licenses. These may be modified and redistributed according to their respective license terms. Community-contributed libraries may have different licensing terms.

8. Usage Restrictions

Prohibited Uses

Commercial Restrictions

Non-commercial licenses prohibit revenue-generating activities, commercial distribution, and business use. Educational licenses are limited to academic institutions and non-commercial research activities.

Geographic Restrictions

Certain features or models may be restricted in specific geographic regions due to legal, regulatory, or technical constraints. Users are responsible for compliance with local laws and export control regulations.

9. Attribution Requirements

Open Source Attribution

Use of open source components requires retention of copyright notices, license texts, and attribution statements. Modified versions must clearly indicate changes and maintain original attribution information.

Platform Service Attribution

Free tier users must include "Powered by OmniGen2" attribution in applications using our services. Paid subscribers may remove attribution requirements with appropriate license upgrades.

Academic and research use requires citation of OmniGen2 in publications, presentations, and derivative works. Specific citation formats are provided in our research documentation and should be followed for academic integrity.

Commercial Attribution Waivers

Enterprise and commercial licensees may receive attribution waivers for customer-facing applications. Internal use and development tools may have different attribution requirements as specified in commercial license agreements.

10. Third-Party Licenses

Dependency Licenses

OmniGen2 incorporates various third-party libraries and dependencies under their respective licenses including PyTorch (BSD), Transformers (Apache 2.0), and others. Complete license information is provided in our documentation.

Training Data Licenses

Our models are trained on datasets with various licensing terms. While we cannot license the underlying training data, our model outputs are provided under the terms specified in this agreement, subject to applicable limitations.

Third-Party Integration

Integration with third-party services (cloud providers, APIs, tools) is subject to their respective terms of service and licensing agreements. Users are responsible for compliance with third-party license requirements.

License Compatibility

We ensure our licensing terms are compatible with major open source and commercial licenses. Specific compatibility guidance is provided for common deployment scenarios and integration patterns.

11. Patent Rights

Patent License Grant

Subject to the terms of this agreement, we grant you a limited, non-exclusive license under our patents to use, make, and distribute software and content in accordance with your licensed rights under this agreement.

Patent Protection

Our Apache 2.0 licensed components include explicit patent grants and protection against patent litigation. Contributors grant patent licenses for their contributions, providing additional protection for users and redistributors.

Patent Termination

Patent licenses terminate automatically if you initiate patent litigation against us or any other licensee regarding patents covering the licensed software or AI models. This provides mutual protection against patent disputes.

Defensive Patent Use

We maintain a defensive patent portfolio to protect our technology and users. We commit to using patents defensively and supporting open innovation in the AI and machine learning ecosystem.

12. License Termination

Termination Triggers

  • Material breach of license terms
  • Violation of usage restrictions
  • Non-payment of commercial license fees
  • Unauthorized redistribution or sublicensing
  • Patent litigation initiation
  • Violation of export control regulations

Cure Period

Most license violations may be cured within 30 days of written notice. Serious violations including security breaches, illegal content, or patent litigation may result in immediate termination without cure period.

Effect of Termination

Upon termination, all rights granted under this license cease immediately. You must discontinue use of licensed software and services, destroy copies of proprietary materials, and comply with data deletion requirements.

Survival of Terms

Certain provisions survive license termination including attribution requirements for previously generated content, limitation of liability, indemnification obligations, and dispute resolution procedures.

13. Warranty Disclaimer

No Warranties

THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI Model Limitations

AI-generated content may contain errors, inaccuracies, or biases. We do not warrant the accuracy, reliability, or appropriateness of generated content for any particular purpose. Users must evaluate and validate all outputs independently.

Service Availability

We do not guarantee uninterrupted service availability or error-free operation. Service interruptions may occur due to maintenance, technical issues, or circumstances beyond our control. Enterprise customers receive enhanced service level commitments.

Third-Party Components

Third-party components are provided under their respective licenses and warranty terms. We disclaim warranties for third-party software and are not responsible for third-party component functionality or support.

14. License Compliance

Compliance Monitoring

We may monitor usage to ensure license compliance, including automated systems for tracking API usage, content generation, and feature utilization. Commercial licensees may be subject to periodic compliance audits.

Reporting Requirements

Commercial licensees must provide accurate usage reports and maintain records of software deployment and content generation activities. Enterprise customers may have specific reporting obligations as defined in their agreements.

Compliance Assistance

We provide tools, documentation, and support to help users maintain license compliance. This includes usage dashboards, compliance checklists, and consultation services for complex deployment scenarios.

Violation Remediation

License violations should be reported promptly with remediation plans. We work collaboratively with users to resolve compliance issues while protecting intellectual property rights and maintaining platform integrity.

15. License Updates

Version Management

License terms may be updated to reflect new features, legal requirements, or business changes. Existing licenses remain valid under their original terms unless explicitly superseded or terminated.

Notification Process

Material license changes will be communicated through email, platform notifications, and website updates with at least 30 days advance notice. Minor clarifications may be implemented with shorter notice periods.

Grandfathering Rights

Existing commercial licensees may continue under current terms for the duration of their license period. Renewal may be subject to updated terms, with options to maintain legacy terms for additional fees.

Open Source Stability

Open source components maintain stable licensing under established OSI-approved licenses. Changes to open source licensing require community consensus and extended transition periods to ensure ecosystem stability.
